Terms of Service

1. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. The Service

DailyMBA delivers one named framework (each, a "Frame") by email each morning, and provides access to a digital Desk (the "Desk") containing all 365 Frames, supporting frameworks, templates, drills, and an AI-powered tutor.

The Service is educational and informational only. Nothing on the Service constitutes professional, financial, legal, medical, tax, investment, accounting, or business advice. You should not rely on the Service as a substitute for advice from a qualified professional in the relevant field, and you assume all responsibility for any decision you make based on the Service.

3. Accounts

You must provide accurate registration information and keep it up to date. You are responsible for all activity under your account, including maintaining the confidentiality of your credentials.

Accounts are for individual personal use. You may not share credentials, transfer your account, or allow more than one person to use a single subscription. We may suspend or terminate accounts that we reasonably believe are being shared or misused.

4. Subscriptions and Plans

We currently offer the following plans:

• Annual — USD $365 per year, billed annually in advance.
• Monthly — USD $35 per month, billed monthly in advance.

Prices are listed in US dollars and exclude any applicable taxes, duties, or foreign-exchange fees, which are your responsibility.

We may change pricing for future billing periods. We will notify existing subscribers in advance of any price change affecting their renewal; if you don't agree, you may cancel before the renewal date.

5. Billing and Auto-Renewal

Payments are processed by Stripe, Inc. By subscribing, you authorise us (via Stripe) to charge your chosen payment method on a recurring basis at the start of each billing period (annual or monthly) until you cancel.

Your subscription automatically renews at the end of each billing period at the then-applicable rate unless you cancel before the renewal date.

If a payment fails, we may retry the charge and may suspend or terminate access if the failure isn't resolved.

6. Cancellation

You may cancel your subscription at any time from your account settings, or by emailing admissions@dailymba.education. Cancellation takes effect at the end of your current billing period; you retain access until then.

Once your subscription ends, you lose access to new daily Frames, the Desk, the AI tutor, and the templates inside the Desk. Any emails already delivered to your inbox remain yours.

7. Refund Policy

We offer a 14-day money-back guarantee on your initial subscription purchase. Full details are in our Refund Policy.

Outside the 14-day window, subscription fees are non-refundable except where mandatory consumer law requires otherwise.

8. Intellectual Property

All content on the Service — Frames, frameworks, templates, drills, AI tutor responses, the Desk interface, design, copy, branding, and any other material we provide — is owned by DailyMBA or licensed to us, and is protected by copyright, trademark, and other intellectual property laws.

Your licence

While your subscription is active, we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own learning and your own business or work.

Templates

You may download our templates and use them — and adapt them — in your own work. You may not redistribute, resell, or publicly publish our templates or any other DailyMBA content (including Frame text) without our prior written permission.

Restrictions

You agree not to:

• Copy, reproduce, scrape, or systematically extract DailyMBA content other than as expressly permitted;
• Use DailyMBA content to train, fine-tune, evaluate, or develop any artificial intelligence or machine-learning model;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Use the Service or our content to create a product or service that competes with DailyMBA.

9. The AI Tutor

The Desk includes an AI-powered tutor (the "AI Tutor") that generates responses based on prompts you submit. AI Tutor responses are generated, not human-reviewed, and may contain errors, inaccuracies, fabricated facts, or outdated information.

The AI Tutor is for educational purposes only. Do not rely on it for legal, financial, medical, tax, investment, or other professional advice. We do not warrant the accuracy, completeness, currency, or fitness for any particular purpose of any AI-generated response.

You agree not to use the AI Tutor to:

• Generate content that is illegal, harassing, defamatory, hateful, or violates someone's rights;
• Infringe intellectual property, privacy, or publicity rights;
• Submit confidential or personal information of third parties without their consent;
• Generate content that depicts minors in a sexual context, or otherwise harms minors;
• Reverse-engineer or attempt to extract underlying models, prompts, or training data;
• Circumvent our safety, moderation, or rate-limiting systems.

You are solely responsible for the prompts you submit and for any use you make of AI Tutor responses. Inputs and outputs from the AI Tutor may be processed by third-party AI providers (e.g. Anthropic); see our Privacy Policy.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose;
• Share your account credentials or allow others to use your subscription;
• Resell, sublicense, or commercially exploit the Service;
• Use automated tools (bots, crawlers, scrapers) without our prior written permission;
• Probe, scan, or test the vulnerability of the Service or breach its security or authentication measures;
• Upload viruses, malware, or other harmful code;
• Interfere with or disrupt the Service or any user's enjoyment of it.

We may suspend or terminate your account, refuse access, or take other reasonable action at any time and without liability for violations of these Terms.

11. Third-Party Services

The Service uses third-party providers (including Stripe for payments, email service providers for delivery, hosting providers, analytics, and AI model providers). Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services or content.

12. Privacy

Our collection, use, and protection of personal data is described in our Privacy Policy, which is part of these Terms.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND DAILYMBA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that you have under the Australian Consumer Law or any other consumer-protection law that cannot lawfully be excluded.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAILYMBA, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) USD $100.

These limitations apply to the maximum extent permitted by law. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless DailyMBA and its officers, directors, employees, contractors, agents, licensors, and suppliers from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, publicity, confidentiality, or privacy; or (d) any content you submit, including prompts to the AI Tutor.

16. Termination

We may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice, including for breach of these Terms. You may terminate your account at any time by cancelling your subscription.

Provisions that by their nature should survive termination — including intellectual-property rights, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions — will survive.

17. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Service before they take effect. Your continued use of the Service after the effective date of the change constitutes acceptance.

18. Governing Law and Disputes

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-law rules. Subject to any mandatory consumer protection laws in your jurisdiction, you and DailyMBA submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising from or related to these Terms or the Service.

Before filing a claim, you agree to first contact us at admissions@dailymba.education to attempt in good faith to resolve the dispute informally.

19. Miscellaneous

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and DailyMBA regarding the Service.

Our failure to enforce any provision is not a waiver. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms; we may assign them to a successor or affiliate without restriction.
